Creator & Content Provider Agreement

• This Creator & Content Provider Agreement (“Agreement”) governs the relationship between Presstige LLC, operator of FanzCentral (“Platform,” “Company,” “we,” “our,” or “us”), and any creator, performer, broadcaster, model, content provider, influencer, streamer, or user (“Creator,” “you,” or “your”) who uploads, publishes, distributes, monetizes, promotes, or otherwise makes content available through the Platform. By registering as a Creator, completing the onboarding process, uploading content, participating in monetization activities, or otherwise using the Creator services of the Platform, you acknowledge that you have read, understood, and agreed to be bound by this Agreement and all applicable Platform policies. This Agreement forms part of and should be read together with the Platform’s:
• Terms & Conditions;
• Privacy Policy;
• Community Guidelines;
• Complaints & Appeals Policy;
• Age Verification Policy;
• Anti-Human Trafficking Policy; and
• Any additional policies, procedures, standards, or guidelines published by the Company from time to time.

• Creator on FanzCentral, you must:
• Be at least eighteen (18) years old or the higher minimum age required under applicable laws within your jurisdiction;
• Possess the legal capacity to enter into binding agreements;
• Successfully complete all required age verification and identity verification procedures;
• Provide accurate, complete, and truthful information;
• Maintain an account in good standing;
• Comply with all Platform policies and applicable laws; and
• Continue to satisfy all eligibility requirements throughout the duration of your use of the Platform. The Company reserves the right to deny, suspend, restrict, reject, or terminate any Creator application at its sole discretion where it determines that eligibility requirements have not been met.

• Verification Before publishing, distributing, promoting, livestreaming, or monetizing content on the Platform, Creators must successfully complete the Company’s verification procedures. Verification procedures may include:
• Government-issued identification review;
• Selfie verification;
• Liveness verification;
• Biometric comparison technologies;
• Third-party verification procedures;
• Consent documentation reviews;
• Compliance screening; and
• Additional verification measures deemed necessary by the Company. The Company may require reverification at any time where concerns arise regarding identity, age, fraud, compliance, account security, payment processor requirements, or Platform safety. Failure to complete verification requirements may result in:
• Suspension of monetization;
• Content removal;
• Account restrictions;
• Temporary suspension; or
• Permanent termination.

• Creators are solely responsible for:
• All content uploaded to the Platform;
• Compliance with applicable laws;
• Obtaining and maintaining required permissions and authorizations;
• Obtaining informed consent from all participants appearing in content;
• Maintaining required records;
• Compliance with tax obligations;
• Compliance with payment processor requirements; and
• Compliance with all Platform policies. Creators must act honestly, lawfully, professionally, and in good faith at all times. Creators are responsible for ensuring that all content remains accurate, lawful, and compliant throughout the period it is available on the Platform.

All participants appearing in content are legally verified adults;

• All participants have provided informed, voluntary, ongoing, and legally valid consent;
• No participant has been subjected to force, coercion, trafficking, intimidation, fraud, manipulation, exploitation, or abuse;
• The Creator possesses all rights necessary to upload, distribute, license, and monetize the content;
• The content does not infringe any intellectual property rights, privacy rights, publicity rights, contractual rights, or other rights of any third party;
• The content complies with all Platform policies;
• The content complies with applicable laws;
• The content does not contain unlawful, prohibited, deceptive, fraudulent, or misleading material; and
• All information provided to the Platform is accurate and complete. These warranties constitute continuing obligations and remain effective throughout the duration of this Agreement and thereafter to the extent necessary to resolve disputes, investigations, enforcement actions, or legal proceedings.

Creators retain ownership of the intellectual property rights in content they create and upload to the Platform.

Nothing in this Agreement transfers ownership of Creator content to the Company.

The Creator remains solely responsible for protecting, enforcing, and maintaining any intellectual property rights associated with their content.

However, by uploading content to the Platform, the Creator grants the Company the licenses and rights described in this Agreement.

• uploading, publishing, transmitting, distributing, livestreaming, or otherwise making content available through the Platform, the Creator grants Presstige LLC and FanzCentral a worldwide, royalty-free, sublicensable, transferable, non-exclusive license to:
• Host;
• Store;
• Reproduce;
• Display;
• Publish;
• Stream;
• Distribute;
• Transmit;
• Promote;
• Market;
• Index;
• Format;
• Adapt for technical purposes; and
• Make available the Creator’s content through the Platform and related services. This license is granted solely for the operation, administration, promotion, security, compliance, improvement, and lawful functioning of the Platform. The Creator acknowledges that the Company may utilize content thumbnails, previews, descriptions, promotional excerpts, and related metadata for Platform operations and marketing purposes.

Creators retain the right to create, publish, distribute, license, promote, monetize, and otherwise make content available through other platforms, websites, applications, social media channels, subscription services, or business ventures, subject to applicable laws and contractual obligations.

Nothing in this Agreement shall be construed as granting the Company exclusive ownership or exclusive distribution rights over Creator content.

Creators retain ownership of their content and may continue to exploit, license, commercialize, and distribute their content outside the Platform.

Notwithstanding the foregoing, the Creator grants the Company the license described in this Agreement to host, display, distribute, market, transmit, promote, and make available content through FanzCentral for so long as such content remains available on the Platform and for any additional period reasonably necessary to satisfy legal, compliance, fraud prevention, payment processor, record retention, enforcement, and operational requirements.

The Company reserves the right to offer promotional programs, incentive arrangements, or special opportunities for creators who voluntarily choose to provide exclusive content under separate written agreements.

• this Agreement and all Platform policies, Creator earnings generated through eligible Platform activities shall be distributed as follows:
• Eighty Percent (80%) to the Creator; and
• Twenty Percent (20%) retained by the Platform. Revenue sharing shall apply to net revenue actually received by the Platform after deduction of payment processor fees, banking fees, taxes, governmental charges, and other mandatory third-party processing costs. The Company reserves the right to modify revenue sharing arrangements for specific promotional programs, partnerships, affiliate arrangements, or special Creator agreements upon written notice.

• Creators may earn revenue through approved Platform monetization features, including:
• Subscriptions;
• Tips;
• Pay-per-view content;
• Livestream monetization;
• Premium content sales;
• Messaging features;
• Promotional programs; and
• Other monetization features approved by the Company. The Company does not guarantee any minimum level of earnings, subscriber activity, traffic, engagement, revenue generation, or commercial success. Creator earnings may fluctuate based upon subscriber behavior, content performance, market conditions, Platform usage, legal requirements, and other factors beyond the Company’s control.

• The Platform currently does not impose a minimum payout threshold. The Company reserves the right to establish reasonable payout schedules, verification requirements, fraud prevention procedures, compliance reviews, and payment processing controls. Payouts may be delayed where necessary to:
• Prevent fraud;
• Investigate disputes;
• Resolve chargebacks;
• Complete compliance reviews;
• Satisfy payment processor requirements;
• Verify account ownership; or
• Comply with legal obligations. The Company shall not be liable for delays caused by financial institutions, payment processors, regulatory authorities, or circumstances beyond its reasonable control.

• The Company reserves the right to deduct from Creator earnings any amounts associated with:
• Chargebacks;
• Refunds;
• Payment reversals;
• Fraudulent transactions;
• Processor penalties;
• Banking fees;
• Compliance costs;
• Tax withholding obligations;
• Regulatory penalties attributable to Creator conduct; and
• Other reasonable costs arising from Creator activity. Where deductions exceed available earnings, the Creator shall remain responsible for any outstanding balance owed to the Company. The Company may offset future earnings against outstanding liabilities owed by the Creator.

• Creators are solely responsible for:
• Reporting income;
• Paying taxes;
• Maintaining financial records;
• Filing required tax returns;
• Obtaining business licenses where necessary; and
• Complying with all applicable tax and financial reporting obligations. The Company does not provide tax advice, accounting advice, or financial planning services. Creators should consult qualified professional advisors regarding their individual obligations. Where required by applicable law, the Company may collect tax information, withhold taxes, report earnings to governmental authorities, or otherwise comply with legal reporting obligations.

• Creators agree to cooperate with reasonable requests relating to:
• Anti-fraud reviews;
• Payment processor compliance;
• Identity verification;
• Source-of-funds inquiries;
• Tax compliance reviews;
• Risk assessments; and
• Regulatory compliance obligations. Failure to cooperate with compliance reviews may result in suspension of payouts, account restrictions, or termination of the Creator account.

• Creators may not:
• Upload unlawful content;
• Upload content involving minors;
• Upload non-consensual content;
• Upload content involving human trafficking, coercion, force, intimidation, exploitation, or abuse;
• Upload deepfake content, synthetic impersonations, or unauthorized AI-generated explicit content;
• Engage in fraud or deceptive conduct;
• Impersonate another individual;
• Circumvent verification procedures;
• Circumvent Platform policies;
• Engage in money laundering or financial misconduct;
• Promote escort services or prostitution;
• Infringe intellectual property rights;
• Mislead subscribers regarding content or services; or
• Engage in any activity that may create legal, regulatory, safety, reputational, or payment processor compliance concerns. Violations may result in immediate enforcement action.

• All content uploaded to the Platform must comply with:
• Applicable laws;
• The Terms & Conditions;
• Community Guidelines;
• Age Verification Policy;
• Anti-Human Trafficking Policy;
• Complaints & Appeals Policy; and
• Any additional Platform policies. Creators are solely responsible for ensuring continued compliance of their content. The Company reserves the right to remove, restrict, disable, demonetize, review, investigate, or reject content at any time.

• The Company may review, screen, investigate, remove, disable, restrict, reject, demonetize, or otherwise take action regarding content where it reasonably believes that:
• A policy violation has occurred;
• A legal issue exists;
• A payment processor compliance concern exists;
• A safety concern exists;
• A regulatory issue exists; or
• Such action is otherwise necessary to protect the Platform, its users, or third parties. Nothing in this Agreement obligates the Company to publish, host, maintain, distribute, or continue displaying any content. Content removal decisions may be appealed in accordance with the Platform’s Complaints & Appeals Policy.

• The Company may suspend, restrict, demonetize, or terminate a Creator account at any time where:
• Verification requirements are not satisfied;
• False information is provided;
• Policy violations occur;
• Fraud is suspected;
• Legal compliance concerns arise;
• Payment processor requirements require action;
• Repeated complaints are received; or
• Continued access creates risk to the Platform. Termination may occur with or without prior notice where permitted by applicable law. Upon termination, the Company may:
• Remove content;
• Restrict access;
• Suspend payouts pending investigation;
• Preserve records;
• Report violations to authorities; and
• Take any other action reasonably necessary to protect its interests and comply with legal obligations.

• Upon termination of a Creator account:
• The Creator’s right to use Creator services immediately ceases;
• Outstanding investigations may continue;
• Content may be removed from public access;
• Payment obligations may be adjusted to account for chargebacks, refunds, compliance costs, or unresolved disputes;
• Record retention obligations shall continue; and
• Certain provisions of this Agreement shall survive termination. The Company may retain verification records, transaction records, consent documentation, communications, and compliance records for legal, regulatory, fraud prevention, payment processor, and risk management purposes.

• Presstige LLC, FanzCentral, its affiliates, officers, directors, employees, contractors, agents, successors, and assigns from and against any claims, liabilities, damages, losses, penalties, fines, judgments, costs, and expenses, including reasonable legal fees, arising out of or relating to:
• Creator content;
• Violations of this Agreement;
• Violations of Platform policies;
• Intellectual property disputes;
• Privacy violations;
• Consent disputes;
• Verification failures;
• Regulatory investigations;
• Tax obligations; or
• Unlawful conduct.

• extent permitted by applicable law, the Company shall not be liable for:
• Lost profits;
• Lost revenue;
• Lost business opportunities;
• Reputational harm;
• Data loss;
• Service interruptions;
• Third-party conduct;
• Payment processor actions; or
• Indirect, incidental, special, consequential, or punitive damages. The Company’s aggregate liability arising out of or relating to this Agreement shall not exceed the total amount paid by the Company to the Creator during the twelve (12) months immediately preceding the event giving rise to the claim.

attempt to resolve disputes through good-faith negotiations before initiating formal proceedings.

Creators are encouraged to utilize the Platform’s complaint and appeals procedures where applicable.

Nothing in this section prevents either party from seeking emergency injunctive relief where legally permitted.

Any dispute, controversy, or claim arising out of or relating to this Agreement, the Platform, Creator activities, monetization, content, or related matters shall be resolved through binding arbitration.

Arbitration shall be conducted by a recognized arbitration provider in accordance with its applicable rules.

The arbitration decision shall be final and binding upon the parties.

Where arbitration is unavailable or unenforceable under applicable law, disputes shall be resolved by a court of competent jurisdiction.

This Agreement shall be governed by and construed in accordance with the laws specified in the Platform’s Terms & Conditions, without regard to conflict-of-law principles.

Users accessing the Platform from outside the applicable jurisdiction remain responsible for compliance with local laws.

The Company reserves the right to amend, modify, supplement, or update this Agreement at any time.

Changes become effective upon publication unless otherwise stated.

Continued use of the Platform following publication of revisions constitutes acceptance of the updated Agreement.

This Agreement, together with the Platform’s Terms & Conditions, Privacy Policy, Community Guidelines, Complaints & Appeals Policy, Age Verification Policy, Anti-Human Trafficking Policy, and other applicable policies, constitutes the entire agreement between the parties regarding Creator participation on the Platform.
